Terms of service
These terms govern your use of Model Uplink. By creating an account or using the service, you agree to them.
1. Provider and eligibility
Model Uplink is provided by Oscar Rojas et al, Quartiersweg 7, 10829 Berlin, Germany. Contact: contact@modeluplink.com. You must be legally able to enter this agreement. If you use the service for an organisation, you confirm that you may bind it.
2. The service
Model Uplink gives a local Ollama or vLLM server a stable, authenticated, OpenAI-compatible internet endpoint. Features available through that endpoint depend on your model, engine, hardware, network, and client app. vLLM is attach-only; Model Uplink does not install or manage vLLM, drivers, or Python environments.
3. Your account, keys, and equipment
You are responsible for your account, endpoint keys, connected machines, models, licences, network, electricity, backups, and anyone you authorise. Keep credentials secret and revoke them promptly if exposed. You must keep your contact and billing information accurate.
4. Acceptable use
You may not use the service to break the law; infringe rights; distribute malware; probe, disrupt, or bypass security or limits; provide unauthorised access to systems; or generate or distribute content where doing so is unlawful. You may not resell access to Model Uplink itself without written permission. We may rate-limit, suspend, or remove endpoints when reasonably necessary to protect users, third parties, or the service.
5. Your content
You retain rights in content sent through your endpoint. You grant us the limited right to transmit and process it only as needed to operate, secure, and support the service. You confirm that you have the rights and lawful basis needed to process that content. We do not intentionally retain inference content, as described in the Privacy Policy.
6. Fees and billing
The price shown at checkout is charged as a recurring subscription with quantity based on active endpoints. Payment is required before activation and there is no free trial unless expressly stated. Adding an endpoint may increase the charge immediately with proration; reductions are reflected as Stripe credits in accordance with the checkout terms. Taxes may be added. Failed payments receive a three-day grace period before inference is suspended. Cancellation takes effect at the end of the paid billing period. Statutory cancellation and refund rights remain unaffected.
7. Availability and changes
We aim to provide a reliable service, but availability also depends on your machine, model server, network, client, and third-party infrastructure. Maintenance, incidents, or security measures may interrupt access. We may improve or change the service where reasonably necessary, while preserving paid access or providing appropriate notice for material adverse changes.
8. Intellectual property
Model Uplink and its software, branding, and documentation remain ours or our licensors'. Any open-source components are governed by their respective licences. These terms do not grant rights to third-party models or software.
9. Suspension and termination
You may stop using the service and cancel through the billing portal. We may suspend or terminate access for material breach, non-payment after the grace period, legal requirements, or a serious security risk. Where reasonable, we will provide notice and an opportunity to remedy the issue.
10. Liability
We are liable without limitation for intent, gross negligence, injury to life, body, or health, fraudulent concealment, guarantees, and liability that cannot legally be excluded. For slight negligence involving an essential contractual duty, liability is limited to foreseeable damage typical for this agreement. Otherwise, liability for slight negligence is excluded. Mandatory consumer rights remain unaffected.
11. Governing law and final provisions
German law applies, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protections in your country remain unaffected. If you are a merchant or public-law entity, Berlin is the exclusive venue where legally permitted. If one provision is invalid, the remaining provisions continue to apply. We may update these terms for legal, security, or service changes with reasonable notice; material changes will not apply retroactively.
